Lightworks is a Software-as-a-Service (SaaS) platform that provides a Git-native Quality Management System for AI Software as a Medical Device startups. The Service enables customers to manage, version-control, and audit their quality documentation within their own repositories.

3.1. To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
4. Subscription and Payment Terms
4.1. The Service is provided on a subscription basis. Subscription fees are based on your selected plan.
4.2. Payment terms are specified in your order form or subscription agreement. All fees are non-refundable unless otherwise specified.
4.3. We reserve the right to modify our pricing terms upon reasonable notice.
5. Customer Data and Privacy
5.1. You retain all rights to your data ("Customer Data") that you upload, create, or modify while using the Service.

9.2. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.
10. Limitation of Liability
10.1. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
10.2. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Term and Termination
11.1. These Terms remain in effect until terminated by either party.
11.2. We may terminate or suspend your access to the Service immediately upon notice for breach of these Terms.
11.3. Upon termination:
- Your right to access the Service will cease
- You must pay any outstanding fees
- You may export your Customer Data within 30 days of termination
12. Confidentiality
12.1. Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own confidential information.
12.2. Confidential information shall not include information that is publicly available, was known prior to disclosure, was independently developed, or was rightfully received from a third party.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.
14. Modifications to Terms
14.1. We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or via email.
14.2. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
15. General Provisions
15.1. These Terms constitute the entire agreement between you and Lightworks Labs, Inc..
15.2. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
15.3. These Terms are governed by the laws of Delaware, USA.
